Constitution

The Kingsway Premium Income Fund has adopted a Constitution which governs Kingsway's powers and duties, the rights and obligations of the unit holders, and the structure of the Fund. Kingsway makes every reasonable effort to behave in an ethical manner and comply with all relevant legal requirements and mandatory planning and environmental standards and codes. A copy of the Constitution may be obtained by written request, or inspected at Kingsway's offices during normal business hours.

Compliance Plan

Kingsway has also adopted a Compliance Plan for the Kingsway Premium Income Fund which sets out the key criteria Kingsway will follow to ensure that it complies with the Corporations Act 2001, the Constitution and other relevant legal requirements. Each year, the Compliance Plan is audited, as required by the Corporations Act 2001, and the auditor's report is lodged with ASIC. A copy of the Compliance Plan may be obtained from ASIC upon payment of the prescribed fee.

Investment Management Comittee

Kingsway has an internal Investment Management Committee which monitors operational performance and management targets and has the objective of achieving consistent returns to investors.

Asset Review Comittee

Kingsway also has an internal Asset Review Committee established to develop and maintain prudent lending and credit policies and processes to protect the assets of the Fund. This includes overseeing the management and action plans of any loans that are in default. The committee consists of two Directors, the General Manager and two senior lending staff and meets on a monthly basis.
